Terms of Service

1. Introduction. These Terms of Service ("Terms") govern your use of Legacy, a service provided by Sentinelis Software FZ LLC (each, as applicable, the “Company,” “we,” or “our”). The applicable provider may depend on your jurisdiction. By accessing or using the service, you agree to these terms.

2. Incorporation of Master Subscription Agreement.  These Terms are subject to and governed by the Master Subscription Agreement (“MSA”). In the event of any conflict between these Terms and the MSA, the terms of the MSA shall prevail, unless expressly stated otherwise. By using this service, you acknowledge and agree to comply with all applicable provisions of the MSA.

3. Service Description.  Legacy is a non-custodial wallet as a service with portfolio tracking features, and beneficiary designation features for access to their cryptocurrency wallet credentials. Key aspects include:

  • Beneficiary Designation and POD: Subject to the Beneficiary & Payable on Death (POD) Terms, users may designate a beneficiary to receive access credentials for a cryptocurrency wallet. Upon verified death of the wallet owner and third-party identity validation, the designated beneficiary receives access credentials, in accordance with user instructions. Company will only facilitate transfers to the user-designated beneficiary and will not transfer access or information to any other party.
  • Portfolio Tracker: Users may view portfolio performance using real-time, third-party-sourced data.
  • Non-Custodial Architecture: the Company does not store or have access to any wallets, private keys, or user funds.

4. No Legal, Financial, or Tax Advice.  The Company does not provide legal, financial, or tax advice. Users are solely responsible for consulting with qualified professionals regarding estate planning, tax obligations, and related matters. Beneficiaries and estate executors are responsible for compliance with applicable inheritance and tax laws in their jurisdictions.

5. User Responsibilities.  By using the service, you agree to:

  • Provide accurate and up-to-date information, as required for provision of the service.
  • Your use of the service is subject to all applicable laws and regulations in your jurisdiction.

6. Non-Custodial. The Company does not store or control seed phrases, private keys, wallet contents, or user funds.  Users are solely responsible for secure storage. 

7. Blockchain and Digital Asset Risks

You acknowledge and agree that:

  • (a) Irreversible Transactions: Blockchain transactions are irreversible and cannot be cancelled, reversed, or refunded by the Company or any third party once broadcast to a blockchain network.
  • (b) Network Risks: Blockchain networks operate independently of the Company. Network congestion, forks, attacks, or other events may cause transaction delays, failures, or loss of funds. Transaction fees (including "gas" fees) are paid to network validators, not the Company, and are non-refundable regardless of whether a transaction succeeds or fails.
  • (c) Smart Contract Risks: Smart contracts and decentralized protocols may contain bugs, vulnerabilities, or be subject to exploits, hacks, or economic attacks that could result in partial or total loss of funds.
  • (d) Market Volatility: The value of digital assets is highly volatile and may increase or decrease at any time, including declining to zero. Past performance is not indicative of future results.
  • (e) Regulatory Risks: The legal and regulatory status of digital assets varies by jurisdiction and may change without notice. Such changes may adversely affect the value, transferability, or legality of digital assets.
  • (f) No Network Control: The Company has no control over blockchain networks and cannot guarantee transaction completion, timing, or confirmation.
  • (g) Third-Party Protocols: The Company does not endorse, verify, or assume responsibility for any digital asset, smart contract, protocol, or third-party service you may interact with.

8. Secret Recovery Phrase and Private Key Security

CRITICAL WARNING: Your Secret Recovery Phrase (also known as "seed phrase" or "mnemonic phrase") and private keys are the ONLY means of accessing your cryptocurrency wallet and the digital assets contained therein.

  • (a) Sole Responsibility: You are solely responsible for securely storing, backing up, and protecting your Secret Recovery Phrase and private keys.
  • (b) No Company Access: The Company does not store, have access to, or have the ability to recover your Secret Recovery Phrase or private keys under any circumstances.
  • (c) Permanent Loss: If you lose your Secret Recovery Phrase or private keys, your digital assets will be PERMANENTLY AND IRREVERSIBLY LOST. The Company cannot assist in recovering lost Secret Recovery Phrases, private keys, or digital assets.
  • (d) Never Share: NEVER share your Secret Recovery Phrase or private keys with anyone. Anyone who asks for your Secret Recovery Phrase is likely attempting fraud or theft.
  • (e) Company Will Never Ask: The Company will NEVER ask for your Secret Recovery Phrase or private keys via email, support chat, social media, phone, or any other channel. Any such request is fraudulent.

9. Security and Phishing Awareness

SECURITY ALERT: Be vigilant against phishing attempts and fraudulent communications.

  • (a) Official Domains: The only official Legacy domains are legacy.io and app.legacy.io. Always verify you are on an official domain before entering any sensitive information or connecting your wallet.
  • (b) What We Will Never Do: The Company will NEVER: (i) ask for your Secret Recovery Phrase, private keys, or passwords; (ii) request that you send digital assets to "verify" your identity or wallet; (iii) contact you via unofficial channels (including Telegram, Discord direct messages, or unofficial social media accounts) claiming to be Legacy support; (iv) ask you to click links in unsolicited emails or messages.
  • (c) Reporting: If you receive suspicious communications claiming to be from Legacy, do not respond, click any links, or provide any information. Report suspected phishing attempts to security@legacy.io.
  • (d) User Responsibility: You are solely responsible for verifying the authenticity of any communication, website, or application before taking any action. The Company is not liable for losses resulting from phishing, social engineering, or fraudulent schemes.

10. Prohibited Jurisdictions and Sanctions Compliance

By accessing or using the Service, you represent and warrant that:

  • (a) You are not located in, resident of, incorporated in, or organized under the laws of any country or territory that is the subject of comprehensive territorial sanctions, including but not limited to Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine (collectively, "Prohibited Jurisdictions").
  • (b) You are not identified on the U.S. Department of Treasury's Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List ("SDN List"), the U.S. Department of Commerce's Denied Persons List or Entity List, the European Union's Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions, the United Nations Security Council Sanctions List, or any similar list maintained by any applicable government authority.
  • (c) You will not use the Service to transact with any person or entity located in a Prohibited Jurisdiction or identified on any sanctions list.
  • (d) You will not use the Service for any purpose that violates applicable anti-money laundering laws, counter-terrorism financing laws, or sanctions regulations.

11. Third-Party Services and Protocols

  • (a) Third-Party Integrations: The Service may allow you to interact with third-party services, protocols, decentralized applications ("DApps"), decentralized exchanges ("DEXs"), bridges, liquidity pools, staking services, and other third-party platforms (collectively, "Third-Party Services").
  • (b) No Endorsement: The Company does not operate, control, endorse, verify, or assume any responsibility for any Third-Party Services. Your use of Third-Party Services is entirely at your own risk and subject to the terms and conditions of those services.
  • (c) Third-Party Risks: Third-Party Services may be subject to hacks, exploits, bugs, economic attacks, rug pulls, liquidity crises, or other failures that may result in partial or total loss of your digital assets. The Company is not liable for any losses arising from your use of Third-Party Services.
  • (d) Bridge and Swap Risks: Cross-chain bridges and token swap services carry significant risks, including but not limited to smart contract vulnerabilities, oracle manipulation, liquidity issues, and bridge exploits. Transactions involving bridges or swaps may fail, be delayed, or result in loss of funds.
  • (e) Data Sources: Portfolio tracking and market data displayed through the Service are sourced from third-party providers and may be inaccurate, delayed, or incomplete. The Company does not guarantee the accuracy of any third-party data.

12. Service Suspension for Non-Payment

Access to services may be suspended or withheld if fees are outstanding or unpaid, including in cases involving legacy transfer or beneficiary access.

13. Indemnification and Limitation of Liability

By using the service, you agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and contractors from and against any claims, losses, liabilities, damages, expenses, or disputes (including reasonable attorneys' fees) arising out of or related to:

  • (a) Your beneficiary designation(s) or any disputes arising therefrom;
  • (b) Any failure to comply with applicable estate, inheritance, tax, or jurisdictional laws;
  • (c) Fraudulent activity, misrepresentation, misuse of the service, or user error.

14. Role of the Company

The Company acts solely as a facilitator of access credential delivery and does not act as a fiduciary, legal representative, or executor. Under no circumstances shall the Company be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the service.

15. Termination

The Company may suspend or terminate access to the service in the event of: (i) non-compliance with applicable laws; or (ii) breach of these Terms.

16. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be published on our website, and continued use of the service after such publication constitutes acceptance of the revised Terms.

3. Review the Terms & Conditions.

Collection of information:

1. The website actively collects member information such as first and last name, age, city and state, email address, gender, date of birth and information through registration forms, applications, voluntary surveys, contests, purchases and participation in public forums such as bulletin boards.

2. The site reserves the right to passively collect information related to site usage, such as time spent on the site, areas visited, and sites linked to and from. In the future, the site may collect additional information and may install cookies on members' hard drives.

3. The site allows members to make personal information available in public forums, such as bulletin boards, to the extent that members choose to disclose such information.

4. If a member contacts any employee or affiliated person, a record of that correspondence may be maintained.

5. The site is prohibited from conditioning a member's participation in an activity on the member disclosing more personal information than is reasonably necessary to participate in that activity.

Use of Information

1. Personal information is used for record keeping, site management, site activities, fulfillment of requested transactions and marketing only to members who have consented to such marketing. This may be in the form of email, text messages or direct mail, among others.

2. Personal information collected from members is not disclosed to third parties, except for companies with which the website is affiliated by common ownership.

Digital tools such as Google Analytics, and Google Ads may install cookies in the browsers of users of DM Intelligence LLC websites in order to provide better targeting of advertising and for analytical measurement of the websites.
